1. Introduction

This Privacy Policy describes how KMN LLC, doing business as WIRMS and operating the PropDistro platform (“PropDistro,” “we,” “us,” or “our”), collects, uses, shares, and protects information when you use our website at propdistro.com, any tenant-hosted websites on our platform, and our related services (collectively, the “Services”).

By using our Services, you agree to the collection and use of information in accordance with this policy. If you do not agree, please do not use the Services.

2. Information We Collect

2.1 Information You Provide

When you create an account, join our waitlist, or use our platform, we may collect your name, email address, phone number, company name, and other business details you voluntarily provide. If you subscribe to a paid plan, our payment processor (Stripe) collects your payment information directly — we do not store credit card numbers on our servers.

2.2 Information Collected Through Platform Use

As a multi-tenant platform, PropDistro processes data on behalf of our tenant customers (wholesalers) and their end users (buyers, investors). This includes:

Tenant-Submitted Data: Property listings, deal details, region configurations, company branding, and business settings that tenants upload or configure within their workspace.

Buyer & Investor Contact Data: Names, email addresses, phone numbers, property preferences, and investment criteria submitted by buyers and investors through tenant-operated websites on our platform.

Communication Data: Messages sent through platform-integrated channels (including WhatsApp Business API, email broadcasting, and SMS), including message content, delivery status, read receipts, and engagement metrics.

Platform Analytics & Behavioral Data: Page views, click patterns, feature usage, session duration, device information, IP addresses, browser type, referring URLs, and interaction patterns across all platform surfaces.

2.3 Information From Third Parties

We may receive data from third-party services that tenants connect to their PropDistro workspace, such as email marketing platforms (e.g., Mailchimp, Constant Contact), property data providers, and CRM systems. We process this data according to the tenant’s instructions and this Privacy Policy.

3. Data Ownership & Licensing

This section clarifies who owns what. We believe in transparency about data rights.

3.1 Tenant-Owned Data

Tenants retain full ownership of their buyer and investor contact lists, property listing content they create, business communications sent through the platform, and any data they upload or import. Tenants may export their owned data at any time and take it with them if they leave the platform.

3.2 PropDistro-Owned Data

PropDistro owns all aggregated, anonymized, and de-identified data derived from platform usage, including but not limited to: platform-wide engagement analytics, behavioral patterns and usage trends, feature adoption and performance metrics, aggregated market insights, and any models, algorithms, or indices derived from platform activity. This data does not identify any individual tenant, buyer, or investor.

3.3 License Grant

By using the Services, tenants grant PropDistro a non-exclusive, worldwide, royalty-free license to use, process, aggregate, and anonymize data generated through platform activity for the purposes of operating, improving, and developing the Services, generating aggregated industry insights and benchmarks, building and improving platform features and algorithms, and creating anonymized datasets for internal research and product development. This license survives termination for data that has already been aggregated or anonymized.

3.4 Data Isolation

We maintain strict data isolation between tenants. One tenant’s raw contact lists, property data, and communications are never shared with, sold to, or made accessible to another tenant or any third party. Aggregated insights derived from platform-wide data will never contain information that could reasonably identify a specific tenant or their contacts.

4. How We Use Information

We use collected information to:

Operate, maintain, and improve the PropDistro platform and Services; process transactions and send related information including confirmations and invoices via Stripe; send administrative messages, technical notices, security alerts, and support communications; respond to your requests and provide customer service; monitor and analyze usage trends and platform performance; detect, prevent, and address fraud, abuse, and technical issues; develop new features, products, and services; generate aggregated, anonymized insights about the wholesale real estate market; and comply with legal obligations.

5. Payment Processing

We use Stripe as our payment processor. When you subscribe to a paid plan, your payment information is collected and processed directly by Stripe in accordance with their Privacy Policy. We receive only a token representing your payment method, the last four digits of your card, and transaction confirmation details. We never receive, store, or have access to your full credit card number.

6. Communication Channels & Messaging

PropDistro integrates with third-party messaging services including WhatsApp Business API, email providers, and SMS services. When tenants send messages through these channels:

Messages are transmitted through the respective third-party service and are subject to that service’s terms and privacy policies (e.g., WhatsApp’s Privacy Policy). We retain message metadata (delivery status, timestamps, engagement metrics) for platform analytics and tenant reporting. Message content may be retained for compliance, dispute resolution, and platform operation purposes. Opt-out requests and consent management are processed in accordance with applicable regulations including TCPA, CAN-SPAM, and WhatsApp’s commerce policies.

7. Information Sharing

We do not sell your personal information. We may share information with:

Service Providers: Companies that help us operate the platform, including hosting (Vercel), database (Supabase), payment processing (Stripe), email delivery (Resend), messaging APIs (WhatsApp/Meta), and analytics services. These providers process data on our behalf and are bound by contractual obligations to protect your information.

Lending Partners: If you engage with financing features on tenant websites, your contact information and expressed interest may be shared with licensed lending professionals who operate within the PropDistro ecosystem. You will be notified when this occurs.

Legal Requirements: We may disclose information if required by law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of PropDistro, our users, or the public.

Business Transfers: In the event of a merger, acquisition, or sale of assets, user information may be transferred as part of the transaction. We will notify affected users before their information becomes subject to a different privacy policy.

8. Data Security

We implement industry-standard security measures including encryption in transit (TLS/SSL), row-level security for tenant data isolation, secure authentication and access controls, regular security assessments, and limited employee access to user data on a need-to-know basis. While we strive to protect your information, no method of electronic storage or transmission is 100% secure.

9. Data Retention

We retain tenant account data for the duration of the subscription plus 90 days. Tenant-owned data (contacts, properties, communications) is available for export during the subscription period and for 30 days after termination. Aggregated and anonymized data derived from platform usage is retained indefinitely. Payment records are retained as required by tax and accounting regulations. You may request deletion of your personal data by contacting us at support@propdistro.com.

10. Your Rights

Depending on your jurisdiction, you may have the right to access, correct, or delete your personal information; object to or restrict certain processing; request data portability; and withdraw consent where processing is based on consent. To exercise these rights, contact us at support@propdistro.com. We will respond to verified requests within 30 days.

11. Cookies & Tracking

We use essential cookies for authentication and session management. We may use analytics cookies to understand platform usage patterns. Tenant websites hosted on our platform may include additional tracking as configured by the tenant. You can manage cookie preferences through your browser settings.

12. Children’s Privacy

Our Services are not directed to individuals under 18 years of age. We do not knowingly collect personal information from children. If we learn we have collected information from a child, we will promptly delete it.

13. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify registered users of material changes via email or platform notification at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the revised policy.
