Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and KMN LLC, doing business as WIRMS and operating the PropDistro platform (“PropDistro,” “we,” “us,” or “our”). By accessing or using our website at propdistro.com, any tenant-hosted websites, or related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

PropDistro is a multi-tenant software-as-a-service platform for real estate wholesalers. The platform provides deal marketing websites, buyer management, WhatsApp Business API broadcasting, email integration, property valuation tools, and financing lead generation features. Tenant accounts operate as independent workspaces within the platform.

3. Accounts & Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access at support@propdistro.com. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

4.1 Plans

PropDistro offers multiple subscription tiers, including a Sponsored tier (free), Accelerator tier, and Independent tier. Feature availability varies by plan and is described on our Pricing page. We reserve the right to modify plan features and pricing with 30 days’ notice.

4.2 Payment Processing

All payments are processed through Stripe. By subscribing to a paid plan, you agree to Stripe’s Terms of Service in addition to these Terms. Subscriptions are billed monthly or annually as selected at checkout. All fees are in U.S. dollars unless otherwise stated.

4.3 Sponsored Tier

The Sponsored tier is provided at no monetary cost. In exchange, Sponsored tier tenants agree that PropDistro’s designated lending partner will be the exclusive financing provider displayed on their tenant website. PropDistro reserves the right to modify or discontinue the Sponsored tier at any time with 30 days’ notice.

4.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your data remains accessible for 30 days, after which it may be deleted.

5. Data Ownership & Rights

5.1 Your Content

You retain ownership of all content you upload, create, or import into PropDistro, including property listings, buyer and investor contact information, deal data, business communications, and branding assets (“Your Content”). You are solely responsible for the accuracy and legality of Your Content.

5.2 License to PropDistro

By using the Services, you grant PropDistro a non-exclusive, worldwide, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing and improving the Services. You also grant PropDistro the right to aggregate, anonymize, and de-identify data derived from your use of the platform to create aggregated analytics, industry benchmarks, and platform improvements. This aggregation license survives termination.

5.3 Platform Data

PropDistro owns all rights to aggregated, anonymized, and de-identified data, analytics, metrics, and insights derived from overall platform usage (“Platform Data”). Platform Data does not include Your Content in identifiable form. We may use Platform Data for any business purpose, including improving our Services, developing new features, generating industry reports, and creating derived works and models.

5.4 Data Portability

You may export Your Content at any time during your active subscription. We provide export functionality for contacts, properties, and deal data in standard formats (CSV, JSON). Upon account termination, you have 30 days to export Your Content before it may be permanently deleted.

5.5 Data Isolation

Each tenant workspace is logically isolated. Your Content is never shared with, sold to, or made accessible to other tenants. PropDistro will never share your raw contact lists or identifiable business data with competitors or other platform users.

6. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable laws or regulations; send unsolicited messages, spam, or communications in violation of anti-spam laws (CAN-SPAM, TCPA) or messaging platform policies (WhatsApp Commerce Policy); upload or transmit malicious code, viruses, or harmful content; attempt to access other tenants’ data or bypass data isolation controls; reverse-engineer, decompile, or attempt to extract the source code of the Services; use automated tools to scrape, crawl, or extract data from the platform beyond approved API access; impersonate any person or entity or misrepresent your affiliation; use the platform for any purpose related to illegal real estate practices, fraud, or deception; or exceed reasonable usage limits as determined by your subscription plan.

Violation of these terms may result in immediate account suspension or termination without refund.

7. Messaging & Communication Compliance

When using PropDistro’s messaging features (WhatsApp, email, SMS), you are solely responsible for obtaining proper consent from recipients before sending messages; complying with all applicable messaging regulations including TCPA, CAN-SPAM, GDPR, and platform-specific policies; maintaining accurate opt-in and opt-out records; honoring unsubscribe requests promptly; and ensuring message content complies with WhatsApp Commerce Policy and other platform guidelines.

PropDistro provides the messaging infrastructure but does not approve, review, or endorse the content of messages sent through the platform. You indemnify PropDistro against claims arising from your messaging practices.

8. Third-Party Integrations

PropDistro supports integrations with third-party services (e.g., WhatsApp, Mailchimp, Constant Contact, property data providers). These integrations operate on a bring-your-own-key (“BYOK”) model — you maintain your own accounts and API credentials with third-party providers. PropDistro is not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party services through our platform is also subject to those services’ terms and policies. We may modify, add, or remove integrations at any time.

9. Financing & Lending Features

PropDistro may display financing options, loan information, or connect buyers with lending professionals through the platform. PropDistro is not a lender and does not make lending decisions. Financing features are provided for informational purposes and to facilitate connections with licensed lending professionals. Any lending relationship is between the buyer/investor and the lending professional directly. PropDistro makes no guarantees regarding loan approval, terms, or availability.

10. Intellectual Property

The PropDistro name, logo, brand assets, website design, source code, algorithms, and all proprietary technology are owned by KMN LLC and protected by intellectual property laws. You may not use our trademarks, logos, or brand assets without prior written consent. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

11. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Property valuations, ARV estimates, and market data provided through the platform are estimates only and should not be relied upon as appraisals or guaranteed values.

12. Limitation of Liability

To the maximum extent permitted by law, PropDistro and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services. Our total liability for any claims arising under these Terms shall not exceed the amount you paid to PropDistro in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless PropDistro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, your violation of any third-party rights, your messaging and communication practices, or Your Content.

14. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and ceasing use of the Services. We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. Upon termination, your right to use the Services ceases immediately. Sections regarding data ownership, limitation of liability, indemnification, and dispute resolution survive termination.

15. Dispute Resolution

These Terms are governed by the laws of the State of Tennessee without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Hamilton County, Tennessee. You agree to waive any right to a jury trial and to participate in class action lawsuits against PropDistro.

16. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

17. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and PropDistro. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver. You may not assign your rights under these Terms without our consent. We may assign our rights freely in connection with a merger, acquisition, or sale of assets.
